Client Service Agreement — Template
This agreement template is intended as a starting point for client engagements. Specific project terms may override this template where agreed in writing.
1) Scope of work
This Agreement is entered into between GXN Services (operated from Lebanon) and The Client.
GXN Services agrees to provide agreed digital services including development, consulting, design, automation, or related services as described in a written scope of work, proposal, or statement of work.
Any changes to scope should be documented in writing (e.g., change request, updated milestone plan, or addendum).
2) Payments
Invoices are payable according to agreed terms.
Late payments may pause work until the account is brought current.
Third-party costs (e.g., hosting, domains, payment provider fees) may be billed separately or passed through depending on the agreement.
3) Revisions
Reasonable revisions may be included depending on project scope.
Additional revisions, scope expansions, or late-stage changes may require additional payment and may affect delivery timelines.
4) Delivery
Delivery timelines depend on:
- Client cooperation and responsiveness
- Scope changes and change requests
- Technical requirements and dependencies
- Third-party dependencies (hosting, DNS, external APIs)
If risks to timelines are identified, GXN Services will communicate them and propose mitigation where possible.
5) Ownership
Upon full payment, clients receive rights to final deliverables as agreed (for example, source code, design assets, or documentation).
GXN Services retains ownership of internal frameworks, reusable systems, and proprietary tools that are not specific to the client deliverable.
Open-source components and third-party libraries remain subject to their licenses and terms.
6) Confidentiality
Both parties agree to maintain confidentiality regarding private business information and materials shared in the course of the engagement.
If needed, a separate NDA may be executed (see the NDA template) to define confidentiality terms in detail.
7) Limitation of liability
GXN Services is not liable for:
- Indirect losses and business interruption
- Third-party failures or outages
- Client misuse of deliverables
- External attacks outside our reasonable control
Where liability cannot be excluded by law, it is limited to typical, foreseeable damages.
8) Termination
Either party may terminate cooperation in writing.
Outstanding invoices remain payable. Work delivered up to termination remains subject to the agreed ownership and license terms.
9) Acceptance
Use of services or payment of invoices constitutes acceptance of this Agreement and any attached scope of work.
