By accessing or using gxn-services.com, you agree to these Terms & Conditions.

1) Services

GXN Services provides digital and technology-related services including but not limited to:

  • Web development
  • Software development (web/mobile)
  • Automation systems
  • API integrations
  • UI/UX design
  • Branding
  • Marketing solutions
  • Hosting-related services
  • App development
  • Technical consulting

Specific scope, pricing, and timelines are agreed separately in writing per project.

2) Client responsibilities

Clients agree to:

  • Provide accurate information
  • Cooperate during project execution (feedback, approvals, access where needed)
  • Respect payment deadlines
  • Avoid illegal use of services and deliverables

Delays caused by missing client input may affect timelines. Where possible, we will communicate risks early.

3) Intellectual property

Unless otherwise agreed in writing:

  • GXN Services retains ownership of internal frameworks, systems, reusable code, and proprietary infrastructure.
  • Clients receive usage rights for paid deliverables according to the project agreement.

Third-party software and open-source components remain subject to their respective licenses and terms.

4) Payments

Invoices must be paid according to the agreed terms.

Late payments may result in:

  • Service suspension
  • Delayed delivery
  • Additional administrative fees where applicable

5) Project delays

GXN Services is not responsible for delays caused by:

  • Missing client materials or access
  • Delayed approvals or feedback
  • Third-party outages (hosting, DNS, APIs, payment providers)
  • Force majeure events (events outside reasonable control)

6) Limitation of liability

To the maximum extent permitted by applicable law, GXN Services shall not be liable for:

  • Indirect or consequential damages
  • Data loss or business interruption not caused by gross negligence
  • Third-party service failures
  • Security incidents outside our reasonable control

Where liability cannot be excluded, it is limited to the typical, foreseeable damages arising from the contract.

7) Service changes

We reserve the right to modify, suspend, or discontinue services at any time. For active client projects, we will make reasonable efforts to communicate changes in advance and minimize disruption.

8) Governing principle

These Terms shall be interpreted according to internationally accepted commercial standards. Any additional governing law/jurisdiction terms may be specified in a separate written agreement.
